1. PARTIES
This Agreement is between:
MT CLASSIC BUSINESS UK LTD (“the Company”)
and
The Contractor (“you”, “the Contractor”)
By accepting this Agreement, you agree to all terms stated herein.
2. NATURE OF RELATIONSHIP (CRITICAL)
2.1 The Contractor is engaged as an independent contractor, NOT as:
An employee
A worker
An agent of the Company
2.2 Nothing in this Agreement creates:
Employment rights
Partnership or joint venture
2.3 The Contractor is fully responsible for:
Their own business activities
How services are performed
3. ROLE OF THE COMPANY
3.1 The Company acts solely as:
A service coordinator and intermediary
A provider of work opportunities
3.2 The Company:
Does NOT guarantee work
Does NOT control how work is completed
4. SERVICE ASSIGNMENTS
4.1 The Company may assign jobs to the Contractor.
4.2 The Contractor:
May accept or decline work
Must complete accepted work professionally
4.3 Once a job is accepted, the Contractor agrees to:
Complete the work as agreed
Attend on time
Communicate professionally with clients
5. PAYMENT TERMS
5.1 Payment arrangements will be agreed per job.
5.2 The Contractor acknowledges:
Payments may depend on client payment
The Company may deduct agreed fees/commissions
5.3 The Company is not responsible for:
Payment delays caused by clients
Disputes arising from work quality
6. TAX & LEGAL RESPONSIBILITY (VERY IMPORTANT)
6.1 The Contractor is fully responsible for:
Income tax
National Insurance
VAT (if applicable)
6.2 The Company does NOT:
Deduct taxes
Provide employee benefits
7. LIABILITY & INDEMNITY (STRONG PROTECTION)
7.1 The Contractor is fully responsible for:
All work performed
Any damage, loss, or injury caused
7.2 The Contractor agrees to indemnify and hold harmless MT CLASSIC BUSINESS UK LTD from:
Claims by clients
Property damage
Personal injury
Poor workmanship
Negligence
7.3 The Company shall NOT be liable for:
Contractor actions or omissions
Any disputes between Contractor and Client
8. INSURANCE REQUIREMENT
8.1 The Contractor is strongly advised to maintain:
Public liability insurance
Any relevant professional insurance
8.2 The Contractor accepts full risk if working without insurance.
9. CONDUCT & PROFESSIONAL STANDARDS
The Contractor must:
Act professionally at all times
Respect client property
Follow health & safety standards
Deliver services with reasonable skill and care
Failure may result in termination.
10. NON-CIRCUMVENTION (VERY IMPORTANT)
10.1 The Contractor agrees NOT to:
Bypass the Company
Deal directly with clients introduced by the Company
10.2 The Contractor must NOT:
Accept direct payment from clients without approval
Build independent relationships from Company leads
10.3 Breach of this clause may result in:
Immediate termination
Legal action
Financial compensation claims
11. CLIENT INTERACTION
11.1 The Contractor may communicate with clients only for:
Completing assigned work
11.2 The Contractor must NOT:
Offer services independently
Negotiate separate agreements
12. DATA PROTECTION
12.1 The Contractor agrees:
To use client data only for assigned work
Not to store, share, or misuse client data
12.2 Any misuse of data may result in:
Immediate termination
Legal action
13. EQUIPMENT & MATERIALS
13.1 The Contractor is responsible for:
Their own tools and equipment
Any materials required
13.2 The Company is not responsible for:
Equipment damage
Supply costs
14. TERMINATION
14.1 The Company may terminate this Agreement at any time:
Without notice
At its sole discretion
14.2 The Contractor may stop accepting work at any time.
14.3 Termination does not remove:
Liability for past work
Legal obligations
15. DISPUTES
15.1 Any disputes will be governed by:
Laws of England and Wales
15.2 The Company may:
Intervene in disputes at its discretion
Not be obligated to resolve disputes
16. LIMITATION OF LIABILITY
To the fullest extent permitted by law, the Company shall not be liable for:
Loss of earnings
Missed opportunities
Client disputes
Work-related claims
17. ENTIRE AGREEMENT
This Agreement represents the entire understanding between:
The Company
The Contractor
18. ACCEPTANCE (MANDATORY)
By accepting this Agreement, the Contractor confirms that they:
Understand they are NOT an employee
Accept full responsibility for their work
Agree not to bypass the Company
Accept all liability for services performed
Agree to indemnify the Company
Accept all terms in full
IMPORTANT LEGAL NOTICE
Nothing in this Agreement excludes liability where it is unlawful under UK law.
This Agreement is designed to provide maximum legal protection to MT CLASSIC BUSINESS UK LTD.
